63 법무사실무영어 법무사실무영어 주식회사정관, 영문으로준비하기( I ) 임 선 혜 법무사(서울중앙회) · 서던캘리포니아대학교 로스쿨 졸업 신년호부터는몇회에걸쳐국내 「주식회사법」에따른정관을영문으로소개해보고자한다. 외국인투자자고객 이 주식회사 설립을 의뢰했을 때, 정관의 중요성을 설명해주면서 외국인 고객이 확인할 수 있도록 영문본을 함께 제공해준다면법률전문가로서신뢰도는더욱높아질것이다. 이번첫회에서는제일앞부분총칙만을소개한다. 정 관 Articles of Incorporation 제1장 총칙 Chapter 1 General 제1조 (상호) 당 회사는 주식회사 ○○○(이)라 칭한다. 영문으로는 ****** Co., Ltd.라 표기한다. Article 1 (Company Name) The company shall be called ****** Co., Ltd. 제2조 (목적) 당 회사는 다음의 사업을 경영함을 목적으로 한다. 1. 지능형 네트워크장비 판매업 1. 위 각호에 대한 서비스제공업 1. 위 각호에 대한 수출입업 1. 위 각호에 부대되는 사업 일체 Article 2 (Purpose) This company shall be engaged in the following business: 1. sells Intelligent Networking Equipment 2. ‌ provide information incidental to the foregoing. 3. ‌ Import and export incidental to the foregoing. 4. ‌ Any and all business activities incidental to the foregoing. 제3조 (본점소재지 및 지점 등의 설치) 1. 당 회사는 본점을 경기도 용인시 내에 둔다. 2. ‌ 당 회사는 필요에 따라 국내외에 지점, 출장소, 사무소 및 현지 법인 등을 둘 수 있다. Article 3 (Location of Head Office and Establishment of Branches) 1. T‌ his company shall have its head office located in YongIn-Shi, GyeongGi-Do. 2. ‌ This company may have branches, representatives, offices and/or local subsidiaries in Korea and /or overseas by the resolution of the Board of Directors as necessary. 제4조 (공고방법) 당회사의공고는서울시내에서발행하는 일간 한국경제신문에 게재한다. Article 4 (Public Notice) The company shall publish its public notice in the Korea Economic Daily, a daily newspaper published in Seoul Metropolitan City.
