Article 20 (Subscription of Corporate Bonds) 1. ‌ The company may issue corporate bonds by the resolution of the General Shareholders’ meeting(or the Board of Directors). 2. K‌ inds of corporate bonds consist of three kinds; general Corporate Bonds, convertible bonds and bonds with subscription warrant. 제21조 (수탁회사) 사채모집을 위하여 주주총회의 결의(또 는 이사회 결의)로 수탁회사를 선임할 수 있다. Article 21 (Trust Company) The company may appoint a trust company for the subscription of corporate bonds by the resolution of the General Shareholders’ meeting(or the Board of Directors). 제22조 (전환사채의 발행) 1. ‌ 당 회사는 다음 각호의 경우 주주총회의 결의(또는 이 사회 결의)로 주주 이외의 자에게 전환사채를 발행할 수 있다. ① 전환사채를 일반공모의 방법으로 발행하는 경우 ② ‌ 경영상 필요로 외국인투자촉진법에 의한 외국인투자 를 위하여 전환사채를 발행하는 경우 ③‌ ‌회사가 경영상 긴급한 자금 조달의 필요성에 의하여 주주총회 결의로 발행 결의 당시의 적정 시가에 의하 여 국내외 법인 또는 개인투자자에게 전환사채를 발 행하는 경우. Article 22 (Issuance of Convertible Bonds) 1. ‌ The company may issue convertible bonds to shareholders or people other than shareholders by the resolution of the General Shareholders’ meeting(or the Board of Directors) in each of the following cases : (1) ‌ In case the company issues convertible bonds by means of public subscription. (2) ‌ In case the company issues convertible bonds due to the company’s management need to induce foreigners’ investment under Foreigners Investment Promotion Law. (3) I‌ n case the company issues convertible bonds at an appropriate market price at the time of resolution for the issuance to domestic or foreign corporations or individual investors due to imminent funding need for the company’s management need based on the resolution of the General Shareholders’ meeting.
