2016년도 등기법포럼 53 외국의 등기제도를 통해 본 우리나라 등기제도의 발전방향 여야 한다 . 유한책임조합 (Limited Partnership) 도 등기를 필요로 한다 . 그 외에 비 영리법인 (non-profit corporation) 이 있다 . 나 . 법인의 명칭 선정 (Selection of corporation name) 대부분의 주는 그 명칭에 법인임을 나타내는 용어 ( 예를 들어 , Corporation, Incorporated, Limited 또는 그 약자 ) 를 사용하도록 하고 있다 . 121) 대부분의 주는 기존 회사의 상호와 동일하거나 또는 혼동을 일으킬 정도로 유 사한 (the same as, or deceptively similar) 상호를 사용하지 못하도록 하고 있 다 . 122) 상호가 사용가능한지에 대하여는 등기 담당 부서에 문의하거나 온라인상으 로 검색할 수 있도록 되어 있다 (Name Availability Search). 123) 회사설립절차를 거치는 동안 시일이 소요되므로 대부분의 주에서는 일정한 비 용을 납부하고 일정한 기간 ( 대략 30 일부터 12 개월 정도 ) 사용하고자 하는 상호를 예약을 해 둘 수 있다 (Reservation of Name). 124) 다 . 정관의 작성 회사의 설립을 개시하고 그 구조를 규정하는 것이 정관이다 . 설립절차에서 작성 하는 정관은 기본정관은 Certificate of Incorporation, Articles of Incorporation, Articles of Incorporation, Articles of Agreement 등으로 불린다 . 121) D elaware G eneral C orporation L aw § 1 0 2 C ontents of certificate of incorporation.
